This Sales Representative Agreement is used when a company appoints an independent sales representative to promote and sell its products or services in the United States. The agreement sets forth the status of the sales representative as exclusive or non-exclusive, designates the representative´s sales territory (within the USA), and indicates the products he/she is authorized to sell. If the company is appointing a sales representative outside the United States, the International Sales Representative Agreement should be used.

The contract is adapted to the commercial uses and practices in the USA and is designed for use in particular when US law applies. This contract is intended for use in any state in the United States. A Guide for Negotiating Contracts in the USA is provided with the contract.
