Strategic Alliance Agreement

Description
The Strategic Alliance Agreement governs the relationship between two companies that wish to achieve mutual benefits through the creation of a Strategic Alliance that may have different objectives: to carry out a research project, design and manufacture new products, provide complementary services, exchange clients and commercial networks, etc. The Alliance is based on a collaboration agreement and, in that sense, does not involve the creation of a separate company; in this situation an International Joint Venture Contract should be used. The Agreement sets out the objectives of the Alliance, creates a Management Committee to carry them out, establishes the contributions of the parties to the financing of the costs (based, preferably 50-50) and the profit sharing. In those elements of the Agreement that are most important (Territory, Contributions of the Parties, Applicable Law and Competent Jurisdiction, etc.) several drafting alternatives are offered in order to choose the most appropriate options depending on each situation. For international transactions the International Strategic Alliance Agreement should be used. |
