Description
Distribution Agreement used by foreign companies when hiring a Distributor in India to market and sell their products. This model is used for the distribution of different types of products: food and beverages, consumer goods, industrial supplies, machinery, etc. The contract is drafted from the standpoint of the foreign company, but taking into account the commercial uses and practices of the Indian market and also the special characteristics of its business legislation. This Distribution Agreement includes all the most important clauses to regulate commercial relations with a distributor in India: appointment of Distributor, orders for products, prices and payment, commitment not to compete, advertising and publicity, indemnity, resolution of disputes and governing law. The Contract is in English, which is the standard language used when drawing up contracts between foreign and Indian companies, and it is valid in India.
