Index of the contract
This Confidentiality Agreement is used by foreign companies which do business in India and which need to safeguard certain confidential information (in particular commercial and technological secrets) which are submitted during ongoing negotiations with Indian companies. The agreement imposes strict obligations on the Indian party which receives the information. It can be used for a broad range of projects such as manufacturing contracts, joint ventures, licenses, technological transfer, property investment projects, mergers and acquisitions, etc.
This Contract includes all the most important clauses for confidentiality agreements in India: proprietary information, obligations on the other party, exceptions from confidentiality obligations, breach of the confidentiality obligations, resolution of disputes and governing law.
The Contract is in English, which is the standard language used when drawing up contracts between foreign and Indian companies, and it is valid in India. A guide in English on Negotiating Contracts in India is provided with the contract.
