This Memorandum of Understanding is a document used to define business relationships between the Parties (Manufacturer and Distributor) before signing an International Distribution Contract. It also serves to assess the interest of the other Party to reach an agreement and to take into the advances in the negotiation.

Either Party can write this Memorandum of Understanding, that is not binding, except in regard to confidentiality during the negotiations.
